Board of Directors
The Board of Directors are composed of the three Directors listed below. The President of the Board (and founder) will be the only constant on the Board, with the other three may change from year to year By-Election.
The Board of Directors are selected each year by the previous board based on recommendation and resume submitted. Each year, the Board will selected new members of the Board based on the criteria of
- five years or more of parenting
- one year or more of non-profit experience
- one year of military or community service
Goals of Baby Wipez & Directors:
- To receive monetary $2,000 in donations from community businesses and private donations to cover operational costs.
- Collect 84 (7 families per month) packs of wipes per month.
- Collect 2,016 (14 families per month) packs of wipes for annual collection.

Committees
A director will be assigned to the Steering / Selection Committee; who will be responsible for the collection of nominations for future board members. Contacting, gaining interest levels and collect applications of potential board members. Submitting a total of fourteen nominees to the board for vote. Then inviting new board members to the organization and hosting a welcome orientation.
A director will be assigned to the Technology Committee; who will be responsible for reviewing the technology requirements of the organization and ensure the organization maintains such levels. Audit the technology currently in inventory (laptops, software, projectors, server, tablets, etc…) to ensure inventory is assigned property, technology is secure. Determine if items are in need of replacement, upgraded, or removed from inventory. Finally, this director will monitor the activities.
A director will be assigned to the Sustainability Committee; an organization is formed by its board of directors to oversee, develop and promote sustainable practices and initiatives. The committee’s primary focus is to ensure that all company operations and activities are environmentally, socially and economically sustainable. The committee oversees a variety of sustainability initiatives including water and energy efficiency, waste reduction and supply chain sustainability. It promotes the use of renewable resources and ensures that all initiatives align with the company’s sustainability goals.
A director will be assigned to the Communications and Public Relations Committees – This committee is the contact for the media. Its members also manage the nonprofit’s social media accounts and may put out newsletters and official statements.
A director will be assigned to the Ad-Hoc Committee – A temporary committee created with a short-term purpose such as a planning committee for an annual event.
Committees
A director will be assigned to the Governance Committee; A governance committee definition refers to a group of people who oversee the function and duties of the board of directors. The members of the governance committee also review state and federal regulatory requirements to ensure the board and the nonprofit comply with them at all times. Overall, the purpose of a governance committee is to serve as the main resource on governance for the board. Board governance committees must stay current on governance trends to effectively oversee the nonprofit’s governance activities as laws and regulations periodically change.
A director will be assigned to the Executive Committee; (or Advisory Committee) who will be responsible for the formal and informal review of the President and executive staff. The executive committee and executives should discuss the purpose and procedure the review will be conducted, including the annual goals and objectives. A performance review template is listed in the “Directors Document” section of this manual.
A director will be assigned to the Financial Committee; who will be responsible for reviewing the financial statements, donation receipts and other financial transactions to insure compliance with the organization’s policies and prevent mismanagement of funds. Will submit financial documents at mid-year and end-year to external auditors for review prior to submitting for tax evaluations. Documents should be submitted between February 1st and March 1st of the following year for a CPA review and submission for tax evaluations to the IRS. The Financial Committee will over see the Fundraising Committee. The financial committee also overseas audits.
A director will be assigned to the Fundraising Committee; who will be responsible for planning and executing fundraising events, to include crowdfunding, product sales, and donation campaigns. Rising monetary and gift-in-kind donations for Baby Wipez. Fundraising is a skill and a profession. But often, charter school boards don’t seek out skilled professionals to serve on this committee. And so, they leave too much responsibility in the hands of people without this expertise.
A director will be assigned to the Development Committee assumes the primary responsibility for raising non-grant funds to support the organization’s mission. They’re responsible for: 1) Developing a realistic fundraising plan alongside the CEO 2)Assisting fellow trustees with completing essential board-level fundraising tasks 3) Organizing training, as needed, for the full board to support the realization of fundraising goals 4) Developing relationships and fostering a positive image of the organization within the community. Fundraising is a skill and a profession. But often, charter school boards don’t seek out skilled professionals to serve on this committee. And so, they leave too much responsibility in the hands of people without this expertise.
A director will be assigned to the Audit Committee – The audit committee is usually an ad-hoc committee that reviews the nonprofit’s annual informational return for the IRS.
